Payment Terms

The price of the goods shall be as set out in Lemon Salt’s published price list (which can be located on the LemonSalt Website) or otherwise within the promotional materials, as the case may be.

If the customer is a Business, LemonSalt may by giving notice to the customer at any time before delivery of the Goods, increase the price of the Goods to reflect any increase in the cost of the Goods that is due to any:

(a) factor beyond LemonSalt’s control (including foreign exchange fluctuations, increases in taxes and duties (which shall include import and export duties), and increases in labour, materials and other manufacturing costs);
(b) request by the Customer to change the delivery and/or performance date(s), quantities or types of Goods ordered, or the Requirements; or
(c) delay caused by any instructions of the Customer or failure of the Customer to give LemonSalt adequate or accurate information or instructions.

1. LemonSalt shall invoice the customer for the Goods in advance of delivery of the Goods.

1.1. Unless otherwise agreed in writing between the parties, payment for the Goods must be made in advance of the Goods being delivered.

1.2. In the case of all other invoices or payments under the Contract, the Customer shall pay each invoice in full and in cleared funds within 30 days of the date of that invoice.

1.3. Payments made under the contract shall be made to the bank account nominated in writing by LemonSalt. Time for payment is of the essence, which means that if payment is not received within the required time frame then, in addition to its other rights and remedies under the contract, LemonSalt shall be entitled to terminate the contract.

1.4. All amounts payable by the Customer under the Contract are inclusive of amounts in respect of value added tax chargeable from time to time (VAT). The amounts of VAT payable shall be included within the Order Acknowledgment issued to the Customer.

1.5. If the customer fails to make any payment due to LemonSalt under the contract by the due date for payment, then the Customer shall pay interest on the overdue amount. 

Interest due under this clause 1.5 shall accrue on a daily basis from the due date until actual payment of the overdue amount, whether before or after judgment. The customer shall pay the interest together with the overdue amount.

1.6. All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).
